These Terms and Conditions ("Terms") govern the purchase and use of Ekynos and its related software, platforms, applications, and services, including any related professional services, custom software, or other work described on an applicable invoice (collectively, the "Service") provided by Ekynos ("Ekynos", "we", "us", or "our").
By purchasing, accessing, or using the Service, the customer ("Customer", "you", or "your") acknowledges that it has read, understood, and agreed to these Terms, together with any applicable invoice, subscription details, service agreement, order form, or other written commercial terms issued or agreed by Ekynos.
A Bahasa Indonesia version of these Terms may be provided where required by applicable Indonesian law or upon request. Where more than one language version is provided, the applicable version shall be determined in accordance with applicable law.
Personal data is processed as described in our Privacy Policy.
1. Payment
All subscription fees, charges, professional-service fees, billing periods, and payment status are stated in the applicable invoice or other written commercial terms.
An invoice remains outstanding until payment has been successfully received and recorded by Ekynos.
Payment is made using the payment method and details stated on the applicable invoice. The Customer should reference the invoice number when making payment. Payment details are provided on the invoice itself and are not published on this website.
The Customer is responsible for any transaction fees, transfer fees, payment-provider fees, withholding amounts, or other costs associated with making payment, except where otherwise required by applicable law or expressly agreed in writing.
Ekynos may suspend or restrict access to the Service where an invoice remains unpaid after its applicable due date, subject to applicable law and any agreed payment terms.
2. Subscription Period and Professional Services
The applicable subscription period, engagement period, or other service period is stated in the applicable invoice or subscription agreement.
Access to the Service may expire or be suspended when that period ends unless the subscription or engagement is renewed or otherwise extended by Ekynos in writing.
Payment grants the Customer a limited right to use the Service, and where applicable to receive the professional services described on the invoice, during the applicable period. Payment does not transfer ownership of the software, source code, intellectual property, or underlying technology.
3. Plans, Seats, Usage and Add-Ons
The Customer's applicable plan, seat capacity, feature availability, usage limits, storage limits, and add-ons are determined by the applicable invoice, organization settings, pricing information, or written commercial agreement.
The Customer must not knowingly exceed applicable limits without authorization from Ekynos.
Additional seats, storage, usage, services, features, or other resources may be charged separately or may require the Customer to move to a different plan.
4. Taxes
Applicable taxes, withholding taxes, duties, government charges, and statutory payments shall be treated in accordance with applicable Indonesian laws and regulations.
Ekynos issues invoices and any other billing documents required by applicable law.
5. Customer Accounts and Security
The Customer is responsible for maintaining the confidentiality and security of its accounts, usernames, passwords, authentication credentials, API keys, devices, and user access.
The Customer is responsible for activities performed through its accounts and for ensuring that each user is authorized to access the relevant organization, data, and functionality.
The Customer must notify Ekynos promptly upon becoming aware of suspected unauthorized access, credential compromise, or other security incidents involving its account.
To the maximum extent permitted by applicable law, Ekynos is not responsible for losses arising from the Customer's failure to properly secure its accounts, credentials, devices, or authorized users, except to the extent such loss is directly caused by Ekynos's acts or omissions for which Ekynos is legally responsible.
6. Service Warranties
Except where such exclusion is prohibited by applicable Indonesian law, the Service is provided on an "as is" and "as available" basis, without implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
No software is entirely free of defects. Ekynos does not warrant that the Service will be uninterrupted or error-free at all times, that it will be compatible with every device or third-party system, or that it will meet every requirement particular to the Customer's business.
The Customer is responsible for satisfying itself that the Service is suitable for its intended use before relying on it for critical business operations.
Nothing in this Section limits Ekynos's obligations under applicable law or prevents the Customer from reporting material defects or failures to Ekynos.
7. Maintenance, Support and Bug Resolution
Ekynos will use reasonable efforts to maintain the Service and investigate material bugs, defects, and service issues reported by the Customer.
When a material issue is brought to Ekynos's attention, Ekynos will use reasonable efforts to assess the issue, determine its cause, and implement an appropriate fix, workaround, or other reasonable resolution based on the severity, impact, reproducibility, technical complexity, and available resources.
Ekynos does not guarantee a specific resolution time unless a separate written service-level agreement expressly provides otherwise.
The existence of a bug, error, service interruption, or technical limitation does not by itself constitute a breach of these Terms where Ekynos is making reasonable efforts to investigate and address the issue.
8. Service Availability and Maintenance
Ekynos may temporarily suspend or restrict portions of the Service for maintenance, upgrades, security measures, infrastructure changes, emergency repairs, or other operational requirements.
Where reasonably practicable, Ekynos will provide advance notice of planned maintenance that is expected to materially affect the Service.
Emergency maintenance may be conducted without advance notice where reasonably necessary to protect the Service, Customer Data, Ekynos's infrastructure, or other users.
Unless expressly agreed in a separate written service-level agreement, Ekynos does not provide any guaranteed uptime or uninterrupted availability commitment.
9. Data Accuracy and Customer Responsibility
The Customer is solely responsible for the accuracy, completeness, legality, and suitability of data entered, uploaded, imported, generated, or otherwise submitted to the Service ("Customer Data").
The Customer is also responsible for reviewing information, reports, calculations, recommendations, analytics, predictions, AI-generated outputs, and other results produced by the Service before acting upon them.
Ekynos provides software and analytical tools and does not guarantee that information generated by the Service will always be complete, accurate, current, or suitable for a specific business purpose.
The Customer remains solely responsible for its business decisions, financial decisions, operational decisions, inventory decisions, pricing decisions, and other actions taken using or in connection with the Service.
10. AI and Automated Outputs
Where the Service includes artificial intelligence, machine learning, automated recommendations, generated content, forecasts, classifications, or other automated outputs, such outputs are provided as decision-support information and not as guaranteed facts or professional advice.
AI-generated or automated outputs may contain errors, omissions, inconsistencies, or inaccuracies. They are not tax, accounting, legal, or valuation advice.
The Customer is responsible for reviewing and independently validating any output before relying on it for material business, financial, legal, operational, or other decisions.
11. Data Storage, Backup and Data Loss
Ekynos may use reasonable technical and organizational measures intended to protect Customer Data and maintain service continuity.
However, no storage, backup, security, or transmission system can be guaranteed to be completely secure or immune from failure.
The Customer is responsible for maintaining appropriate independent copies or backups of critical Customer Data where reasonably necessary for its business operations.
To the maximum extent permitted by applicable law, Ekynos is not responsible for loss, corruption, alteration, deletion, or unavailability of Customer Data arising from circumstances outside Ekynos's reasonable control, Customer actions or omissions, unauthorized access resulting from Customer security failures, third-party infrastructure failures, or other circumstances for which Ekynos is not legally responsible.
12. Third-Party Services and Infrastructure
The Service may depend on third-party providers, including hosting providers, databases, cloud infrastructure, artificial intelligence providers, payment providers, telecommunications networks, software libraries, APIs, app stores, and other external services.
Ekynos does not control the availability, performance, security, policies, pricing, or continued operation of such third-party services.
An outage, failure, modification, restriction, discontinuation, or other issue affecting a third-party service may affect the Service.
Ekynos will use reasonable efforts to restore affected functionality or implement a reasonable alternative where practicable, but does not guarantee continued availability of any particular third-party service.
13. Customer Data and Privacy
The Customer retains ownership of Customer Data, subject to the rights reasonably necessary for Ekynos to provide, operate, maintain, secure, troubleshoot, and improve the Service in accordance with applicable law and the Ekynos Privacy Policy.
The Customer is responsible for ensuring that it has all necessary rights, permissions, notices, and lawful bases required to collect and provide Customer Data to Ekynos and to permit Ekynos to process such data.
Where Customer Data contains personal data, Ekynos and the Customer shall process such data in accordance with applicable Indonesian data-protection laws, including applicable requirements under Law No. 27 of 2022 on Personal Data Protection.
The Customer must not provide data to Ekynos where the Customer is prohibited by law from doing so.
14. Intellectual Property
All rights, title, and interest in and to the Ekynos software, platform, source code, interfaces, designs, systems, documentation, trademarks, branding, algorithms, models, technology, and other intellectual property remain with Ekynos or its licensors.
Except for the limited right to use the Service during the applicable subscription or engagement period, no ownership or intellectual property rights are transferred to the Customer.
The Customer must not copy, reproduce, distribute, resell, sublicense, modify, reverse engineer, decompile, disassemble, extract source code from, or otherwise attempt to derive the underlying technology of the Service, except where such restriction is prohibited by applicable law.
15. Acceptable Use
The Customer must not use the Service to:
- violate applicable law or regulation;
- gain unauthorized access to any system, account, network, data, or another organization's workspace;
- interfere with, disrupt, overload, or impair the Service;
- upload malware, malicious code, or harmful material;
- circumvent security or access controls;
- conduct fraudulent, abusive, or unlawful activity;
- infringe the intellectual property or other legal rights of another party; or
- use the Service in a manner that creates a material security, operational, or legal risk to Ekynos or other users.
Ekynos may suspend or restrict access where reasonably necessary to investigate or prevent unlawful activity, fraud, abuse, security threats, or material violations of these Terms.
16. Changes to the Service
Ekynos may modify, improve, replace, add, remove, or discontinue features of the Service from time to time as part of the continued development of the product.
Specific functionality, interfaces, workflows, integrations, and features may therefore change over time.
Ekynos will use reasonable efforts to avoid materially reducing the core functionality of a paid Service without appropriate notice where reasonably practicable.
17. Suspension and Termination
Ekynos may suspend or terminate access to the Service where:
- applicable fees remain unpaid;
- the Customer materially breaches these Terms;
- the Customer uses the Service unlawfully or abusively;
- continued access creates a material security, operational, or legal risk; or
- suspension or termination is required by applicable law or a competent authority.
Where reasonably practicable, Ekynos will provide notice and an opportunity to remedy a breach before suspension or termination.
This requirement does not apply where immediate action is reasonably necessary to protect Ekynos, its infrastructure, other customers, or comply with applicable law.
Upon termination or expiry, the Customer may request a reasonable export of Customer Data within thirty (30) days. Thereafter, Ekynos may delete Customer Data, subject to any legal retention obligations.
18. Cancellation and Refunds
Cancellation, refunds, credits, and early termination are governed by the applicable invoice, subscription agreement, order form, or written commercial terms.
Unless expressly stated otherwise, payment for a subscription or engagement period does not automatically entitle the Customer to a refund for unused time within that period.
Nothing in this Section excludes or limits any refund or other right that cannot lawfully be excluded under applicable Indonesian law.
19. No Guarantee of Business Results
Ekynos does not guarantee that use of the Service will result in any particular revenue increase, cost reduction, profit, business growth, operational improvement, customer acquisition, inventory reduction, or other commercial result.
The Service is intended to provide software functionality and decision-support capabilities. The Customer remains responsible for determining how the Service is used and for the results of its own business decisions.
20. Limitation of Liability
To the maximum extent permitted by applicable law, Ekynos shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, business opportunities, goodwill, anticipated savings, business interruption, or other indirect economic loss arising from or relating to the Service or these Terms.
This exclusion applies, to the extent legally permitted, to losses arising from software bugs, errors, temporary service interruptions, service unavailability, inaccurate or incomplete outputs, Customer Data issues, third-party service failures, or decisions made using information generated by the Service.
Subject to the limitations imposed by applicable law, Ekynos's total aggregate liability arising out of or relating to the Service or these Terms shall not exceed the total fees actually paid by the Customer to Ekynos for the affected Service during the twelve (12) months immediately preceding the event giving rise to the claim.
The liability limitation in this Section applies regardless of the legal theory on which the claim is brought, including contract, tort, negligence, or otherwise, to the extent such limitation is legally permitted.
Nothing in these Terms excludes, restricts, or limits liability or rights that cannot legally be excluded, restricted, or limited under applicable law.
21. Events Beyond Reasonable Control
Ekynos shall not be responsible for delays, interruptions, or failures resulting from circumstances beyond its reasonable control, including natural disasters, fire, flood, war, civil unrest, government action, widespread telecommunications or internet failures, infrastructure failures, cyberattacks, third-party service failures, or other events that could not reasonably have been prevented or controlled by Ekynos.
This Section does not relieve Ekynos of obligations that cannot legally be excluded under applicable law.
22. Customer Indemnity
The Customer shall defend, indemnify, and hold harmless Ekynos from and against claims, damages, losses, and reasonable expenses arising out of or relating to Customer Data, unauthorized use of the Service by the Customer or its users, or the Customer's unlawful use of the Service, except to the extent caused by Ekynos's willful misconduct or to the extent such indemnity is not permitted by applicable law.
23. Assignment
Ekynos may assign or transfer these Terms, or its rights and obligations under them, including in connection with a reorganization, merger, acquisition, or sale of assets. The Customer may not assign or transfer these Terms without Ekynos's prior written consent. Any attempted assignment in violation of this Section is void.
24. Complaints and Technical Issues
The Customer should report material bugs, technical issues, suspected security incidents, billing errors, or other complaints to Ekynos promptly after discovery.
Reports should contain sufficient information to allow Ekynos to investigate the issue, including relevant screenshots, transaction references, affected users, timestamps, or other information reasonably available to the Customer.
Ekynos will use reasonable efforts to investigate and address material issues in a timely manner, taking into account their severity and impact.
25. Governing Law and Dispute Resolution
These Terms shall be governed by the laws of the Republic of Indonesia, unless otherwise expressly agreed in a separate written agreement.
The parties shall first attempt to resolve disputes through good-faith discussion.
If a dispute cannot be resolved amicably, it shall be submitted to the jurisdiction of the competent courts of the Republic of Indonesia or another dispute-resolution mechanism expressly agreed by the parties in writing.
26. Changes to These Terms
Ekynos may update these Terms from time to time to reflect changes in the Service, applicable laws, security requirements, operational practices, or business requirements.
Where reasonably practicable, material changes will be communicated through the Service, email, or another appropriate channel.
Unless otherwise required by law, continued use of the Service after the effective date of updated Terms constitutes acceptance of the updated Terms.
27. Severability
If any provision of these Terms is determined to be invalid, unenforceable, or unlawful, that provision shall be enforced to the maximum extent permitted by applicable law, and the remaining provisions shall continue in full force and effect.
28. Entire Agreement
These Terms, together with the applicable invoice, subscription details, order form, service agreement, privacy policy, and other written commercial terms expressly agreed between Ekynos and the Customer, constitute the agreement governing the Customer's use of the Service.
If there is a conflict between these Terms and a separately executed written agreement, the separately executed agreement shall prevail to the extent of the conflict.

For billing inquiries, the Customer should include the applicable invoice number and organization name.
